The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work ("SOW") or service agreement executed between you and AllDataFlow prior to project commencement.

As a user of our Website and Services, you agree to the following responsibilities:

3.1 Accurate Information

You agree to provide accurate, current, and complete information when submitting forms, creating accounts, or communicating with us. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

3.2 Lawful Use

You agree to use the Website and Services only for lawful purposes and in accordance with these Terms. You shall not use the Website or Services in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party's use of the Website.

For engagements that require your business data, you are responsible for providing data in the agreed-upon format and timeline. You represent and warrant that you have the legal right to share such data with AllDataFlow and that the data does not infringe upon any third-party rights. Delays in providing required data may affect project timelines and deliverables.

4.1 AllDataFlow Property

The Website, including its design, layout, text, graphics, logos, icons, images, software, and all other content (collectively, "AllDataFlow Content"), is the property of AllDataFlow or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any AllDataFlow Content without our express written permission.

4.2 Deliverable Ownership

Upon full payment for Services, ownership of the final deliverables (reports, dashboards, analyses) transfers to you as specified in the applicable SOW. AllDataFlow retains the right to use anonymized, aggregated data and general methodologies developed during the engagement for internal improvement and portfolio purposes, unless otherwise agreed in writing.

4.3 Pre-Existing Materials

AllDataFlow retains all rights to pre-existing tools, frameworks, templates, methodologies, and proprietary software used in the delivery of Services. You are granted a non-exclusive, non-transferable license to use such materials solely as incorporated into your deliverables.

4.4 Your Data

You retain all ownership rights to the data you provide to AllDataFlow. We will not sell, share, or use your proprietary data for any purpose other than performing the agreed-upon Services, unless required by law or with your explicit consent.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of an engagement. AllDataFlow will treat all client data, business strategies, and proprietary information as confidential and will not disclose such information to third parties without your prior written consent, except as required by law or as necessary to perform the Services (e.g., using secure third-party tools for data processing). This obligation of confidentiality survives the termination of any engagement.

Payment terms, including pricing, payment schedule, and accepted methods, are specified in the applicable SOW or service agreement. Unless otherwise agreed:

• A deposit may be required before project commencement, as specified in the SOW
• Invoices are due within 30 days of issuance unless otherwise stated
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• AllDataFlow reserves the right to suspend Services if payment is overdue by more than 15 days
• All fees are non-refundable once work has commenced, except as otherwise provided in the SOW

7.1 Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALLDATAFLOW DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALLDATAFLOW, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ALLDATAFLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3 Cap on Liability

AllDataFlow's total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the total amount paid by you to AllDataFlow during the twelve (12) months preceding the event giving rise to the claim.

7.4 AI Assistant Disclaimer

Our AI chat assistant Michelle provides general informational responses about AllDataFlow's services. Responses generated by the AI assistant do not constitute professional advice, binding quotes, or contractual commitments. AllDataFlow is not liable for any decisions made based solely on information provided by the AI assistant. You agree to indemnify, defend, and hold harmless AllDataFlow and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Website or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data you provide to AllDataFlow that infringes upon the rights of a third party.

Either party may terminate a service engagement as specified in the applicable SOW. AllDataFlow reserves the right to:

• Suspend or terminate your access to the Website at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties
• Terminate a service engagement immediately if you breach any material term of these Terms or the applicable SOW
• Discontinue or modify any aspect of the Website or Services at any time

Upon termination of a service engagement, you shall pay for all Services rendered up to the date of termination. Sections relating to intellectual property, confidentiality, limitations of liability, and indemnification shall survive termination.

Any dispute arising out of or relating to these Terms or the Services shall be resolved as follows:
